Agreement to these Terms

We are Vinesia SARL ("Company," "we," "us," "our"), a company based in Luxembourg at Rue Gabriel Lippmann 55, L-6947 Niederanven, registered under RCS Luxembourg B276404. Our VAT ID is LU34935934. Vinfra is a brand under which we offer the Services described below.

We operate the website https://vinfra.io (the "Website") and all related products and services that refer or link to these Terms of Use (together, the "Services").

These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of a company ("you"), and Vinesia SARL, concerning your access to and use of the Services. By accessing the Services, you agree that you have read, understood, and accepted these Terms of Use.

These Terms of Use govern access to and general use of the Website and its publicly available Services. Should you become a customer of the Vinfra platform itself, a separate agreement (a customer or service agreement, including any applicable Service Level Agreement) will apply to that use and will supplement or supersede these general Terms of Use for the scope of actual platform use.

The Services are intended for business customers ("B2B") and for users who are at least 18 years old.

1. Our Services

Vinfra provides, via the Website, information about our technology platform for wine businesses (Digital Cellar, Pricing, AI, Commerce, Connect), and enables product demo requests, calendar bookings, and contact with our team. The information provided on the Website is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to applicable law.

2. Intellectual Property Rights

We own or license all intellectual property rights in the Services, including source code, software, website design, text, graphics, and trademarks ("Content" and "Marks"). Subject to your compliance with these Terms of Use, we grant you a non-exclusive, non-transferable, revocable license to access the Services for your personal or internal business, non-commercial use. No part of the Services, Content, or Marks may be reproduced, distributed, or otherwise used for commercial purposes without our prior written consent. Direct requests to hello@vinfra.io.

3. User Representations

By using the Services, you represent and warrant that: all registration information you submit (e.g. via the contact, demo request, or booking form) is true, accurate, and complete; you have the legal capacity to agree to these Terms of Use; you are not a minor; you will not access the Services through automated or non-human means; and your use of the Services will not violate any applicable law or regulation.

4. Prohibited Activities

You may not access or use the Services for any purpose other than that for which we make them available. As a user of the Services, you agree not to, among other things: systematically retrieve data from the Services without our written permission; circumvent security-related features; upload viruses or other malicious code; use the Services through unauthorized automated means (bots, scrapers); reverse engineer any software comprising the Services; or use the Services in any manner inconsistent with any applicable law.

5. Third-Party Websites and Content

The Services may contain links to third-party websites, including our scheduling provider Calendly. Such websites are not investigated or monitored by us, and we are not responsible for their content or privacy practices.

6. Service Management

We reserve the right, without obligation, to take appropriate legal action against anyone who violates these Terms of Use, and to otherwise manage the Services in a manner designed to protect our rights and ensure the proper functioning of the Services.

7. Privacy Policy

By using the Services, you agree to our Privacy Policy, published above and incorporated by reference into these Terms of Use.

8. Term and Termination

These Terms of Use remain in full force and effect while you use the Services. We reserve the right to deny access to and use of the Services to any person, for any reason, at our sole discretion, including for breach of these Terms of Use.

9. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Services at any time, and to suspend or discontinue the Services in whole or in part, without liability to you or any third party.

10. Governing Law

These Terms of Use are governed by the laws of Luxembourg. If your habitual residence is in the EU and you are a consumer, you additionally benefit from the mandatory statutory provisions of your country of residence.

11. Dispute Resolution

Binding arbitration. Disputes arising out of the relationship between the parties to these Terms of Use shall be resolved by an arbitrator appointed under the arbitration rules of the European Arbitration Court, part of the European Arbitration Centre based in Strasbourg, in force at the time an arbitration request is filed; acceptance of this clause constitutes agreement to that procedure. The seat of arbitration is Luxembourg, Luxembourg. The language of proceedings is English. The applicable substantive law is the law of Luxembourg.

Restrictions. Arbitration is limited to the dispute between the parties. To the fullest extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right to arbitrate any dispute on a class basis; and (c) there is no right to bring a dispute in a purported representative capacity on behalf of the public or any other persons.

Exceptions to arbitration. The following disputes are not subject to the arbitration clause: (a) disputes concerning the enforcement or validity of intellectual property rights; (b) disputes relating to theft, piracy, invasion of privacy, or unauthorized use; and (c) claims for injunctive relief. Should this provision be found unlawful or unenforceable, the affected dispute will be resolved by a competent court in Luxembourg.

12. Disclaimer

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE ASSUME NO LIABILITY FOR ANY ERRORS OR INACCURACIES OF CONTENT, UNAUTHORIZED ACCESS TO OUR SERVERS, OR ANY INTERRUPTION OF THE SERVICES.

13. Limitations of Liability

IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY INDIRECT, CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING FROM YOUR USE OF THE WEBSITE OR THE PUBLICLY AVAILABLE SERVICES. This limitation of liability applies exclusively to use of the Website within the meaning of these Terms of Use. For customers of the Vinfra platform, the liability and SLA terms set out in the applicable customer or service agreement take precedence.

14. Indemnification

You agree to indemnify and hold us harmless from any loss, damage, liability, or claim, including reasonable attorneys' fees, made by any third party due to or arising out of: your use of the Services; your breach of these Terms of Use; or your violation of applicable law.

15. User Data

We store certain data you submit through the Services (e.g. contact, demo, and booking inquiries). You are solely responsible for the accuracy of the data you submit.

16. Electronic Communications

Visiting the Services, sending us emails, completing online forms, and booking an appointment through our calendar all constitute electronic communications. You consent to receive electronic communications.

17. Miscellaneous

These Terms of Use constitute the entire agreement between you and us regarding use of the Website. If any provision is found unlawful, void, or unenforceable, that provision is deemed severable and does not affect the validity of the remaining provisions.
